Affiliate Agreement for Financial Education and Empowerment Membership Program

This Affiliate Agreement, along with Empowering The Masses LLC’s Terms of Service (incorporated by reference), governs your participation in the Financial Education and Empowerment Membership Program’s Affiliate Program (“Program”). By applying to or participating in the Program, you agree to the terms of this binding legal agreement.

 

Commission Structure

Affiliates will receive a flat commission of $100 for each successful referral to the Premium Membership, which requires a $249 down payment and a monthly fee of $129.

 

For the Elite Membership, which has a one-time payment of $1,750, affiliates will receive a one-time commission of $250 for each successful referral.

A successful referral is defined as a new member who registers and completes payment for their selected membership level in the Financial Education and Empowerment Membership Program.

 

Affiliate Agreement Terms

By joining the Program, you confirm that you have the authority to represent your business (if applicable) and accept these terms on behalf of yourself or your entity.

 

Modifications We reserve the right to modify this Agreement at any time. Continued participation in the Program signifies your acceptance of any updated terms.

 

W-9 Requirement To receive commission payments, all affiliates must complete and submit a W-9 form. Our support team will email you the form after you are registered as an affiliate.

 

Section 1: Program Application

  • Information Disclosure: You must provide accurate and truthful information in your application. The Credit Lady retains full discretion in determining your eligibility for the Program.

  • Communication Consent: By joining, you agree to receive communications via the email and phone number provided, which may include automated calls, texts, and pre-recorded messages. You can revoke this consent by sending a written request to Support@CreditLady.com.

 

 

Section 2: Program Rules Failure to comply with these rules may result in termination from the Program and forfeiture of any earned commissions:

 

  • Compliance with Laws: Affiliates must adhere to all applicable laws, including those related to advertising, email marketing (CAN-SPAM Act), and testimonials (FTC guidelines).

  • Disclosure Requirements: Affiliates must clearly disclose their independent status and must not imply they are employees or agents of The Credit Lady.

  • Non-Disparagement: Affiliates agree not to make defamatory or negative statements about The Credit Lady or its employees.

 

  • Social Media Compliance: Social media posts must follow platform-specific rules (e.g., using the "Paid Partnership" tool on Instagram) and include #TheCreditLady and #ad prominently.

  • Marketing Claims: Affiliates may not make misleading or exaggerated claims about potential earnings or services provided by The Credit Lady.

  • General Advertising Rules: All promotional materials must be free of offensive content, malware, or other harmful elements. Advertisements must not falsely represent themselves as the official website of The Credit Lady.

  • Pay-Per-Click (PPC) Guidelines: Affiliates may run paid campaigns as long as they adhere to Google’s guidelines and any other applicable laws.

  • Prohibited Practices: Affiliates must not engage in deceptive practices, such as self-referrals, fraudulent activity, or cookie stuffing. Affiliate links must be used as provided, without alteration.

Section 3: Compensation

  • Affiliate ID: Upon approval, you will receive a unique Affiliate ID for tracking referrals and sales.

  • Commission Eligibility: Commissions are earned only if:

    • You maintain an active account with a third-party payment provider.

    • The referred account remains in good standing for at least 45 days.

 

  • Payouts: Commissions are paid monthly on the 15th, according to program terms. Payments are made in U.S. Dollars (USD), and processing fees may apply.

  • Commission Structure:

    • Single Location Account: 50% commission

    • Non-User Single Location Account: 10% commission

  • Minimum Payout Threshold: You must accumulate at least $50.00 in commissions before receiving a payout.

  • Tax Documentation: You may be required to submit tax forms (e.g., W-8, W-9) prior to receiving payments. Failure to provide the necessary documents may result in forfeiture of outstanding commissions.

 

 

 

SECTION 4: Intellectual Property Rights

As a participant in the Program, The Credit Lady may provide you with resources and materials (e.g., courses, presentations, templates, images, social media posts), collectively referred to as "The Credit Lady Materials." You acknowledge that all such materials are the exclusive property of The Credit Lady.

 

You agree to use The Credit Lady Materials solely for the benefit of The Credit Lady and in accordance with the terms of this agreement. If requested, you will assist in recording this agreement with relevant authorities to affirm The Credit Lady’s ownership. This agreement does not grant you ownership of The Credit Lady Materials beyond permitted use as outlined. You also agree not to dispute or challenge The Credit Lady’s ownership of these materials or the validity of this agreement.

 

 

All rights, including intellectual property rights associated with The Credit Lady’s services, name, and trademarks, remain the exclusive property of The Credit Lady, unless explicitly stated otherwise in this Agreement. Any goodwill generated from your use of The Credit Lady’s name or trademarks will solely benefit The Credit Lady. You are not permitted to use The Credit Lady’s name or trademarks without prior written approval, except as allowed by this Agreement. If you become aware of any infringement or potential infringement on The Credit Lady’s intellectual property, you must notify The Credit Lady immediately and provide assistance as required, with expenses covered by The Credit Lady. Additionally, you agree not to provide services to any person or entity infringing on The Credit Lady’s intellectual property rights.

You are responsible for taking reasonable measures to secure The Credit Lady’s services on your system and network. If any security breach occurs, you must promptly report it to The Credit Lady and act quickly to resolve the issue.

 

SECTION 5: Term and Termination

This Agreement becomes effective upon the earlier of (i) your acceptance or signing of the Agreement, or (ii) The Credit Lady’s approval of your participation in the Program. Participation continues on a month-to-month basis unless terminated by either party. Either party may terminate this Agreement for any reason by providing thirty (30) days' written notice.

However, if The Credit Lady determines, at its sole discretion, that you have breached any term of this Agreement, Privacy Policy, Terms of Service, or any applicable law, The Credit Lady may terminate the Agreement or suspend your access to the Program without prior notice. This may include suspension or termination of any accounts you control. In cases of termination due to default, you will forfeit any commissions or payments owed, and The Credit Lady will not have any further obligations to you.

Upon termination or cancellation of this Agreement, certain provisions will remain in effect, including limitations of liability, indemnity obligations, mandatory arbitration, and class action waivers. Any representations and warranties you make under this Agreement will also survive its termination.

 

 

 

 

 

SECTION 6: Additional Representations and Warranties

In addition to any other representations and warranties in this Agreement, you affirm that there are no ongoing government investigations, inquiries, or prosecutions involving any regulatory body, including the Federal Trade Commission (FTC), pending or previously brought against you. Additionally, there are no private lawsuits against you related to intentional torts or violations of consumer protection or advertising laws. If you become the subject of any such investigation, inquiry, prosecution, or lawsuit after entering into this Agreement, you must notify The Credit Lady within 24 hours. The Credit Lady reserves the right to terminate your participation in the Program immediately under such circumstances.

 

SECTION 7: Entire Agreement

This Agreement constitutes the entire understanding between the parties regarding the Program and supersedes all prior oral or written agreements. If there is a conflict between this Agreement and any other written agreement related to the Program, the terms of the separate written agreement will take precedence.

 

SECTION 8: Independent Contractor

You acknowledge that your relationship with The Credit Lady is solely that of an independent contractor. This Agreement does not establish an employer-employee or principal-agent relationship. You have no authority to bind or act on behalf of The Credit Lady, and your compensation is limited to what is specified in this Agreement. You are fully responsible for your own actions and decisions.

 

SECTION 9: Disclaimer

The Credit Lady makes no guarantees or promises regarding your business success, income, or sales. You understand that The Credit Lady will not provide sales leads or referrals. This Program is not a business opportunity, franchise, or marketing plan, nor is it a “business-in-a-box.”

 

SECTION 10: Limitation of Liability

To the fullest extent permitted by law, The Credit Lady and its officers, directors, shareholders, employees, contractors, and agents shall not be liable for any indirect, special, incidental, exemplary, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or substitute services. This applies regardless of the legal theory—whether contract, tort, or otherwise—and regardless of whether The Credit Lady had prior knowledge of the possibility of such damages.

The total liability of The Credit Lady for any claims arising from or related to this Agreement shall not exceed the lesser of either three (3) times the amount paid by you to The Credit Lady in the month preceding the claim or $1,500. This limitation of liability is your sole and exclusive remedy for any breach of this Agreement. Nothing in this section limits The Credit Lady’s right to seek any other remedies available at law or in equity.

 

SECTION 11: Dispute Resolution, Arbitration, Class Action Waiver, & Governing Law

Any disputes arising from this Agreement shall be resolved through binding arbitration, administered by the American Arbitration Association under its then-current rules. Arbitration will take place before a single arbitrator in Cook County, Illinois, in English, with the laws of the State of Texas governing the proceedings. The arbitrator’s written decision will be final and binding on both parties. Each party will bear its own costs related to the arbitration, regardless of the outcome. Arbitration is the exclusive method of dispute resolution, except that either party may seek preliminary or injunctive relief in a competent court if it believes such action is necessary to prevent irreparable harm.

 

Both parties agree not to pursue disputes on a class or collective basis; all disputes shall be arbitrated individually. Only a court with appropriate jurisdiction may address any questions regarding the enforceability or validity of this class and collective action waiver. If the waiver is found unenforceable, then a court, not an arbitrator, will handle any class or collective actions.

 

SECTION 12: Indemnity

You agree to indemnify, defend, and hold harmless The Credit Lady, along with its officers, directors, employees, owners, and parent companies, from any demands, claims, actions, proceedings, damages, liabilities, losses, fees, costs, or expenses (including reasonable attorney’s fees and investigation costs) arising directly or indirectly from: (1) your use of or reliance on information you provide, (2) any breach of this Agreement by you, (3) your use or possession of The Credit Lady’s property, except in cases of The Credit Lady’s gross negligence or willful misconduct, or (4) any negligence, gross negligence, or willful misconduct by you, your employees, or agents.

 

SECTION 13: Severability

If any provision of this Agreement is found to be in conflict with applicable laws, rules, or regulations, that provision will be modified to comply with the law. The remainder of the Agreement and the Terms of Service will continue to be in full effect.

 

SECTION 14: Judicial Action for Provisional Relief

The Credit Lady reserves the right to seek provisional or equitable relief from any court of competent jurisdiction to enforce its rights or interests under this Agreement. Such relief may include, but is not limited to, temporary restraining orders, preliminary injunctions, writs of attachment, orders for audits, or enforcement of liens or security interests. Seeking judicial relief under this section does not waive the right of the party to address the dispute's merits through arbitration.

 

The parties agree that any breach or anticipated breach of this Agreement could cause irreparable harm to The Credit Lady, for which monetary damages alone may not be sufficient. Therefore, the non-breaching party is entitled to seek injunctive relief to prevent further breaches without the need to post a bond or demonstrate actual damages.

 

SECTION 15: Complaint Notification

Affiliates are required to notify The Credit Lady within twenty-four (24) hours of receiving any complaints regarding advertisements. Notifications should be directed to The Credit Lady Support Team via email at Support@CreditLady.com.

 

SECTION 16: Force Majeure

Neither party will be held liable for failing to meet obligations under this Agreement if the failure is due to a Force Majeure Event, provided that they promptly notify the other party and make reasonable efforts to resolve the issue. A "Force Majeure Event" includes events such as acts of God, war, riots, civil disturbances, acts of terrorism, embargoes, government regulations or orders, natural disasters, labor strikes, pandemics, public health emergencies, or any other event beyond the reasonable control of the affected party. The non-performing party must promptly inform the other party of the Force Majeure Event and its expected impact on performance.
